The website www.nationaltokens.com("the Site") is operated by Mauquoy Token Company. Nationaltokens.com and Mauquoy Token Company are collectively referred to as Nationaltokens.com in this Terms of Use agreement ("Terms of Use").

This Terms of Use agreement (the "Agreement") describes the terms and conditions applicable to the use of the Nationaltokens.com web site which is identified by the uniform resource locator www.nationaltokens.com (the "Site"). This Agreement is entered into between the user of the Site (the "User") and Nationaltokens.com.

All features and services made available by Nationaltokens.com through the Site, and any and all use of the Site and/or use of features and services of the Site are subject to these Terms of Use.

Any posted changes are effective immediately after posting and User’s continued use of the Site constitutes that that he/she has read all of these Terms of Use and accepts them in their entirety.

Conditions and Restrictions on Usage

The User acknowledges and agrees that Nationaltokens.com may terminate his/her access to the Site or usage of any of the features and services provided by Nationaltokens.com, in case he/she should fail to comply with the Terms of Use. Access to certain features of the Site are provided to Members (registered users) only. However, Nationaltokens.com reserves the right to limit, deny or create different access to the Site and its features with respect to different User types, without any or prior notice. Nationaltokens.com also reserves the right, without prior notice or any notice, to change any of the features and services or introduce new features and services of this Site.

Nationaltokens.com reserves the right to deny any User's access to the Site and reserves the right to deny any User to become a Member for whatever reason in order to protect Nationaltokens.com’s interests.

The User, by accepting these Terms of Use, acknowledges that Nationaltokens.com shall in no event be liable to the User or any third parties for any inability to use the Site, whether due to disruption, limited access, changes to or termination of any features on the Site or otherwise, and for any delays, errors or omissions with respect to any communications or transmission, or any damage arising from the use of the Site. Nationaltokens.com can not be held responsible also for the inability of the User to use the Site or any of its features.

Copyrights and Licenses

This site or any portion of this site can not be reproduced, duplicated, copied, sold, resold or otherwise exploited for any commercial purpose without written permission by Nationaltokens.com or any third party content provider to Nationaltokens.com. The User, by accepting these Terms of Use, agrees and acknowledges that he/she will not copy, reproduce or download any information, text, images, video clips, directories, files, databases or listings available on the Site, for the purpose of re-selling or re-distributing the Site content, mass mailing, or otherwise commercially exploiting the Site content without written permission from Nationaltokens.com.

The User further agrees to grant to Nationaltokens.com a non-exclusive and royalty free license, with the right to sublicense, reproduce, transmit, distribute, create any derivative works of, publicly use, reuse or display any materials or information he/she publishes, transmits or provides to Nationaltokens.com by any means.

Exchanging information & transactions through the Site

The Site provides a platform for exchanging information between Users with the purpose of trading or exchanging goods and services among themselves. Nationaltokens.com is, however, not involved in the actual trade or exchange transactions between Users. Nationaltokens.com does not represent any User in any such transactions and does not charge any commissions from the Users parties in any such transactions. As a result, Nationaltokens.com has no control over and is not responsible for the quality, safety, availability or legality of the items in any such transactions, the truth or accuracy of the items and their information, or the ability of Users to fulfil their obligation in any such transactions.

Users are solely responsible for all of the transactions conducted on, through or as a result of use of the Site, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, licenses, fines, handling, transportation and storage.

Users agree and acknowledge that there may be risks of dealing with people acting under false pretences. Because identity verification on the Internet is difficult, Nationaltokens.com cannot and does not confirm each User's registered personal or company information. Nationaltokens.com encourages Users, by using their experience and common sense, to evaluate with whom they are dealing prior to entering in any transaction.

Because Nationaltokens.com is not involved in the actual transaction between Users, in the event that any User has a dispute with any other User regarding a transaction, the User releases and agrees to indemnify Nationaltokens.com from all claims, costs, expenses, demands and damages, actual and consequential, of every kind and nature, known and unknown, suspected and unsuspected, disclosed, arising out of or in any way connected with such disputes.

Third Parties and Content

Users acknowledge and agree that Member profiles on the Site are provided by other Users. Any content provided or posted other Users, whether publicly posted or privately transmitted, is the sole responsibility of User from which such content originated. In other words, each User, and not Nationaltokens.com, is entirely responsible for all content that he/she uploads, posts, emails or otherwise transmits via the features and services provided by Nationaltokens.com.

Nationaltokens.com does not control any User or third party content posted on the Site. As such Nationaltokens.com is not responsible for and does not guarantee the accuracy, integrity, quality, propriety, or lawfulness of any third party or User content, and shall not be liable to any User in connection with such User's reliance of such third party content. In addition, Nationaltokens.com is not responsible for the conduct of any User's activities on the Site, and shall not be liable to any person in connection with any damage suffered by any person as a result of such User's conduct. Nationaltokens.com does not control these websites, does not monitor such sites and bears no responsibility or liability for, nor should Nationaltokens.com be deemed in any way to endorse or approve of, the contents, products, services and information on the linked website. Nationaltokens.com encourages you to read such sites' Terms of Use and Privacy Policies before using such sites.

Users must be aware that messages or information sent by other Users through communication systems provided by the Site or through emails and fax or letters to addresses obtained from the Site are is out of Nationaltokens.com’s control and monitoring ability and so Users acknowledge that Nationaltokens.com can not be held responsible or liable for the content of these messages and information. The message sender shall be responsible for the content of all the messages communicated, as well as the consequences of any such messages.

Registration and Membership

Certain features and services will require Users to register. A User must fill out an online registration form to become a "Member" of Nationaltokens.com. This form contains information about the User or its company such as name, address, contact information, etc. When registering for the Site, you (the User) agree to provide true, accurate, valid and complete information about yourself or the company that you represent and you also agree that you will promptly update the Member information to keep it true, accurate, valid, and complete when changes occur. Users agree to not use any other User’s contact information, including but not limited to email addresses, telephone and fax numbers or mail addresses, for junk mail, chain letters or spamming or the transmission of any unlawful, harassing, abusive, threatening, harmful, vulgar, indecent, obscene or otherwise objectionable material of any kind. User acknowledges that Nationaltokens.com may refuse registration and deny the issuance of Member ID and Password to any User for whatever reason.

After filling out the registration form, the User is assigned a unique Member ID and a password the member chooses for logging in its account. Members are responsible for maintaining the confidentiality of the member ID and password and are fully responsible for all activities that occur under that member ID or password. Members must ensure that they log out from their account at the end of each session. Nationaltokens.com cannot be and will not be liable for any loss or damage arising from failure to comply with these requirements.

Rules of Conduct

Any of the following is automatically considered a material breach of these Terms of Use that will lead to forfeiture of any or partial access to the Site and its features and services:

Using the Site in violation of local, national, or international laws;
Violating any ordinance or regulation including without limitation, those governing export control, consumer protection, unfair competition or false advertising

Being harmful to minors
Impersonating any person or providing false information on your registration form
Posting or transmitting any unsolicited advertising, promotional materials, including junk mail, spam, chain letters or any unsolicited mass distribution of email to Nationaltokens.com or to other Users
Posting or transmitting any data or material which contains computer viruses, corrupted files or any other similar destructive software and codes that may damage or have the effect of interfering with or intercepting any software or hardware system, data or personal information
Posting material that infringes on the intellectual property rights, copyright, patent, trademarks, trade secret or other rights of others
Acting in any other manner, which in Nationaltokens.com, in its sole discretion finds unacceptable

The User acknowledges and agrees that Nationaltokens.com shall have the right (but not the obligation), in its sole discretion, to refuse to publish, remove, or block access to any content that is available via the features and services provided by this Site, at any time, for any reason, or for no reason at all, with or without notice. The User acknowledges and agrees that the technical processing and transmission of User's content may involve transmissions over various networks and/or may involve changes to conform and adapt to technical requirements of such networks or devices.

Nationaltokens.com reserves the right to cooperate fully with governmental authorities and/or injured third parties in the investigation of any suspected criminal or wrongdoing. Further, Nationaltokens.com may disclose the User's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a legal action, and Nationaltokens.com shall not be liable for damages or results thereof and the User agrees not to bring any action or claim against Nationaltokens.com for such disclosure.

Nationaltokens.com also has the right (but not the obligation) to suspend or terminate any User’s account for any feature or service because of User’s inactivity for a period 90 days. Nationaltokens.com has the right to change duration of mentioned time period, with or without prior notice, by updating this posting.

Disclaimer of Warranties & Limit of Liability

Nationaltokens.com makes no representations or warranties about the validity, accuracy, correctness, reliability, quality, stability or completeness of any information provided on the Site. Information on the Site may contain inaccuracies or typographical errors. Information may be changed or updated without notice.

The User expressly understands and agrees that the use of the features and services of the Site is at User's own risk. Nationaltokens.com cannot always foresee or anticipate technical or other difficulties. These difficulties may result in loss of data or other service interruptions. Also, any material or information downloaded or otherwise obtained through the Site is done at each User's sole discretion and risk and each User is solely responsible for any damage to its computer system or loss of data that may result from the download of any such material.

Nationaltokens.com expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Nationaltokens.com makes no warranty that (a) the features and services provided by the Site will meet User's requirements, (b) the service will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the services will be accurate or reliable, (d) the quality of any services, information, or any products purchased or obtained by User through the features and services of this Site will meet User's expectations.

User expressly understands and agrees that Nationaltokens.com shall not be liable for any direct, indirect, special, punitive, incidental, exemplary or consequential damages or any damages whatsoever, resulting from; (a) the use or the inability to use the Site (b) any defect in products or services purchased or obtained from a User or a third-party through the Site (c) unauthorized access to or alteration of any User's transmissions, data or private information by third parties (d) statements or conduct of any User of the Site (e) any material, data or information posted by third parties.

Further, Nationaltokens.com makes no representations whatsoever about other web sites which you may access through this one. When a User accesses a web site other than Nationaltokens.com, the User acknowledges and understands that it is independent from Nationaltokens.com, Nationaltokens.com has no control over the content on that web site, and that a link to other web site does not mean that Nationaltokens.com endorses or accepts any responsibility for the content, use, or products and services made available through such web site.

Nationaltokens.com shall not be liable to the User for delays or failures in performance or disruption of the content, features or services of the Site resulting directly or indirectly from Acts of God, forces or causes beyond its reasonable control, including but not limited to, internet failures, electrical power failures, or any other equipment failures, labour disputes, riots, disturbances, fires, flood, storms, explosions, acts of war, governmental actions, orders of domestic or international courts.

General Conditions

The User agrees to indemnify and hold Nationaltokens.com and its affiliates, executives, directors and employees, harmless from any claim or demand (including legal expenses and the expenses of other professionals) made by a third party due to or arising out of User's breach of these Terms of Use or the documents it incorporates by reference, or User's violation of any law or the rights of a third party.

These Terms of Use constitute the entire agreement and understanding between Nationaltokens.com and the User, superseding any previous understanding(s) between Nationaltokens.com and the User. Furthermore, the User agrees that he shall not rely upon any representations or warranties that are not set forth expressly in these Terms of Use. Headings used in this Agreement are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such part or section the Agreement.

Governing Laws

This Terms of Use Agreement and your use of the website shall be governed and construed by the laws of Belgium. Each party irrevocably agrees to be bound by any judgment rendered thereby in connection with this Terms of Use Agreement.
